SEC Division of Examinations Flags Deficiencies in Investment Adviser Annual Compliance Reviews
by Alston & Bird
The U.S. Securities and Exchange Commission (SEC) has identified recurring deficiencies in investment advisers' annual compliance reviews, highlighting the importance of maintaining effective compliance programs and ensuring that written policies reflect actual business practices.
In a September 2026 risk alert, the SEC's Division of Examinations outlined six areas of concern, including incomplete review procedures, inadequate documentation, inconsistencies between policies and practices, and failures to address previously identified issues. While the alert does not introduce new regulatory requirements, it provides valuable insight into the areas examiners are scrutinizing.
In this guest commentary, Alston & Bird's Funds Group examines the SEC's findings and outlines practical steps investment advisers can take to strengthen their annual review processes, address potential weaknesses, and prepare for future examinations.
