About the Role

In this role, you will be responsible for coordinating the operation of board and committee meetings for Suntera Private Wealth (Guernsey) Limited, Suntera Private Wealth (Jersey) Limited (and their subsidiaries) as well as other Suntera group companies and clients of Suntera, where required.

As Company Secretary, your duties will include:

  • Convening and servicing board and executive committee meetings (including producing agendas and board packs, taking minutes, conveying decisions and handling meeting correspondence);
  • Filing information with the Registrar of Companies for all relevant jurisdictions to report changes regarding the Company or to comply with requirements for periodic filing;
  • Ensuring that the companies comply with all relevant laws and their Articles of Association; and
  • Maintaining the statutory registers and records of each company.

As Corporate Governance, your duties will include:
  • Keeping up to date with best practice guidance and implementing any relevant corporate governance developments;
  • Undertaking periodic corporate governance reviews against the Finance Sector Code of Corporate Governance;
  • Supporting the provision of information to auditors, regulators and other relevant third parties; and
  • Keeping up to date with any relevant regulatory or statutory changes and policies that might affect the companies.
 
The role will also involve:
  • Assisting the Managing Director of the Channel Islands and Senior Management with the collation of information and presentations for internal and external parties including regulators; and
  • Providing company secretarial administration and support services in respect of our client book.

About You

You will be an enthusiastic and confident individual with experience in writing minutes and the ability to demonstrate a knowledge and understanding of company law in both Guernsey and Jersey. The following attributes would also be advantageous:

  • Good level of skill in the use of Microsoft applications (Word, Excel and Outlook);
  • ICSA/STEP or similar professional qualification or qualified by industry experience;
  • Ability to work under pressure and meet deadlines with a high degree of accuracy;
  • Good level of written and oral communication and presentation skills, enabling effective contact at all levels both internal and external;
  • High level of organisational and prioritisation skills, with the ability to demonstrate initiative;
  • High degree of flexibility, adaptability and willingness to help; and
  • Friendly and professional manner, with an emphasis on discretion and diplomacy.

Our Guernsey office is based in Rohais in St Peter Port.
